Terms of Service

These Terms of Service ("Terms") govern access to and use of Quiip.ai (the "Platform," "Service"), operated by Pedals Up ("Quiip.ai," "we," "us," "our"). By creating an account or using the Platform, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

1.What Quiip.ai Is

Quiip.ai is a proposal intelligence platform. It helps businesses draft, edit, deliver, track, and get signatures on client proposals, using AI trained on content the account owner uploads (services, pricing, case studies, past proposals, and related documents).

2.Accounts

  • You must provide accurate information when creating an account (name, company, email) and keep it current.
  • You're responsible for activity under your account, including actions taken by team members and collaborators you invite.
  • You must be legally able to enter a binding contract to use the Platform on behalf of a business.
  • We may suspend or deactivate an account for a violation of these Terms, suspected fraud, or non-payment where applicable.

3.Your Content

"Your Content" means anything you or your team upload or generate through the Platform: knowledge base documents, client data, briefs, proposal drafts, and finalized proposals.

  • You own it. We don't claim ownership of Your Content.
  • You're responsible for it. You confirm you have the right to upload the documents, pricing, client information, and other material you put into the Platform, and that doing so doesn't violate a confidentiality obligation or another party's rights.
  • We use it to run the Service. We process Your Content to generate proposals, power search and drafting through retrieval-augmented generation (RAG), display it to you and your invited collaborators, and provide the features described in the Platform.
  • We don't train shared models on it. Content you upload is used to generate proposals for your account. It is not used to train AI models shared across other customers' accounts.
  • Client-signed documents belong to the transaction. Once a client signs a proposal, the signed record is retained as part of your account's history for audit and delivery purposes.

4.AI-Generated Content

Proposals generated by Quiip.ai are drafted using AI based on the brief you provide and the knowledge base you've uploaded.

  • AI output can contain errors, outdated pricing, or inaccuracies. You are responsible for reviewing and approving any proposal before it's sent to a client.
  • Quiip.ai does not guarantee that AI-generated proposals will be accepted by any client, or that they meet any particular legal, regulatory, or industry standard for your business.

5.Collaborators and Team Members

  • Account owners and admins can invite team members and outside collaborators (including clients) and set their level of access (view, edit, or comment).
  • You are responsible for the access you grant. Removing a collaborator's access is your responsibility when their involvement in a proposal ends.
  • Actions taken by an invited collaborator are logged and attributed to that person's invited identity.

6.Electronic Signatures

Quiip.ai's built-in e-signature feature captures a client's signature along with a timestamp and technical metadata (such as IP address and browser information) to help establish authenticity and intent. You are responsible for determining whether this method of signature is appropriate and enforceable for a given transaction, contract type, or jurisdiction.

7.Fees and Credits

Quiip.ai's core workflow, lead capture, AI drafting, editing, client delivery, and e-signature, is live and available now. Credit-based usage and subscription plans are part of our Phase 2 roadmap and are not yet active. Until subscription billing launches, access is provided under the terms agreed with your organization at onboarding (including any free or invitation-based access). We will update this section, with advance notice to account owners, once subscription plans and credit-based billing go live.

8.Third-Party Services

Quiip.ai relies on third-party providers to operate, including cloud infrastructure and storage, AI model providers, and services for document delivery, email, and SMS. Use of the Platform may involve your data passing through these providers as needed to deliver the Service. We select providers with appropriate security and data-handling commitments, but we are not responsible for their independent acts or outages.

9.Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, and we are not liable for downtime caused by circumstances outside our reasonable control, including third-party service outages.

10.Termination

  • You may close your account at any time.
  • We may suspend or terminate access for breach of these Terms, non-payment, or suspected misuse.
  • On termination, your right to access the Platform ends. Data deletion is handled as described in our Privacy Policy.

11.Disclaimers and Limitation of Liability

The Platform is provided "as is." To the maximum extent permitted by law, Quiip.ai disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. Quiip.ai's total liability for any claim relating to the Platform is limited to the amount you paid us in the twelve months before the claim arose, or USD 100 if you're on a free or invitation-based plan.

12.Governing Law

These Terms are governed by the laws of India. Any dispute arising from these Terms or use of the Platform will be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India, unless a separate signed agreement between you and Pedals Up states otherwise.

13.Changes to These Terms

We may update these Terms from time to time. We'll notify account owners of material changes. Continued use of the Platform after a change takes effect means you accept the updated Terms.
